Michelle A. Gyves

With a focus on domestic and international employment; contract, corporate, and data privacy matters, Michelle Gyves provides strategic advice and counseling to domestic and multinational employers across industries on a wide range of employment law and related matters. These matters include hiring and termination, compensation and benefits, restrictive covenants, workplace investigations, diversity and inclusion, and global mobility.

Michelle has conducted numerous multistate and multicountry audits of employment laws and practices, ensuring clients' compliance in a wide range of areas. Her experience covers data privacy, disability and leave laws, employer health and safety obligations, and working time regulations, among numerous other issues. She also provides advice on issues related to the intersection of technology and employment law, including compliance with applicable data privacy laws throughout the world, most notably the EU's General Data Protection Regulation (GDPR), for both employee and customer data.

Michelle advises employers with regard to labor, employment and benefits issues in connection with both buy- and sell- side merger and acquisition transactions and conducts deal-related benefits and human resources due diligence.

Michelle is a frequent speaker and writer on topics related to employment. She has covered issues such as employment considerations in M&A and outsourcing transactions, conducting internal investigations, GDPR compliance, employment issues for retail industry clients, and global diversity and inclusion.

  • While at a prior firm:
    • Conduct employment and benefits diligence, contribute to deal documents and provide other transaction-related advice in connection with various public and private company transactions, including a branded hotel company’s acquisition of an international luxury chain; a leading global alternative asset manager’s acquisition of a global service-based systems integrator; a capital market company’s acquisition of a provider of mental/behavioral health services; and a worldwide distributor of medical/dental supplies’ spin-off of its veterinary business.
    • Advice to private equity clients and their portfolio companies on various employment matters including employee separations, reductions in force, hiring and background checks, and development of employment policies.
    • Draft restrictive covenant agreements for use by a private equity client with its non-US workforce.
    • Daily employment law counseling to a Fortune 500 professional services company on global employment matters, including hiring and terminations, restrictive covenant agreements, global mobility, and diversity programs.
    • Advice to a multi-national client on the rollout of a workplace complaint hotline including antidiscrimination, contract and data privacy considerations.
    • Negotiate and draft executive employment agreements, including for CEOs of a major media company and a fashion and lifestyle startup.
