Our Clients

Katten attorneys advise private equity investors and their portfolio companies in a broad range of transactions involving insurance, reinsurance, and similar insurance-related businesses, such as agents, brokers, adjusters, broker-dealers, investment managers, service contract providers, and warranty service providers. We also represent lenders in their financing of companies in the insurance industry.

Our Services

We understand the challenges relevant to the insurance industry—such as multi-state compliance issues, change of control statutes, payout structures and holding company issues—and we work with our clients to structure deals that help fulfill their specific goals while taking into account pertinent industry regulatory factors.

In the insurance space, our Private Equity group regularly:

  • performs due diligence analysis of potential investments pertaining to state regulations;
  • structures all aspects of private equity transactions, including platform acquisitions, add-on acquisitions, debt and equity financings, joint ventures, minority investments, exit transactions, recapitalizations, restructurings, and carve-out deals;
  • works closely with our insurance regulatory team to comply with state insurance laws; to analyze warranties; to oversee the management of matters relating to general underwriters, surplus lines, and most-favored domiciles whether in the United States or in offshore locations such as Bermuda, Turks and Caicos and the Cayman Islands; and to assess reinsurance arrangements and risk allocations;
  • collaborates on the financing of private equity-backed deals with our Commercial Finance attorneys, who are adept at addressing particular insurance-related challenges, such as risk-based capital issues, collateral restrictions, change of control restrictions, financial covenant tests, dividend availability and statutory accounting principles; and
  • employs a multi-disciplinary deal team of attorneys in complementary areas such as intellectual property; tax; employee benefits, executive compensation and labor; technology; and privacy, data and cybersecurity.

We approach deals by first determining our clients' specific priorities and what matters most to them in the transaction, which allows us to bring a laser focus to key issues and be responsive to the particular needs of the situation. Our experience allows us to not only anticipate challenges but also to determine how best to resolve them, moving expeditiously to closing while protecting important interests.
