Our Clients

Katten attorneys represent all parties in health care business transactions, counseling both providers and non-providers on a national level. Our clients include tax-exempt and taxable health systems, academic medical centers, psychiatric hospitals, community-based and government-owned hospitals, multi-specialty and single physician groups, ancillary service companies, medical office buildings, ambulatory surgery treatment centers, physician clinics, post-acute care providers, continuing care retirement centers and senior housing, payors, insurers, lenders, and life science companies.

We provide general corporate representation and support across the transactional spectrum, from corporate reorganizations to the sale and acquisition of stock, assets and partnership interests. With a thorough understanding of the legal and regulatory constraints affecting providers, Katten's Health Care team advises on the numerous ownership, governance, reimbursement, financial, tax, management, operational, regulatory, contractual, medical staff and market penetration issues inherent in health care mergers and acquisitions. We regularly address Anti-Kickback Statute, Stark Law, licensure, tax exemption, charitable trust, antitrust, reimbursement and general compliance matters that potentially impact transaction structure and outcomes.

Katten has represented health care clients in hundreds of merger and acquisition transactions, including acquisitions, mergers and affiliations among tax-exempt and taxable parties, transactions involving publicly traded companies, transfers of sponsorship and the establishment of joint operating companies. Our attorneys have considerable experience with stock transactions between taxable parties, lease and sale of assets among government-owned hospitals and publicly traded health systems, workout transactions and the formation and restructuring of joint operating companies to jointly manage hospital operations while maintaining separate ownership of hospital assets. We facilitate acquisitions, collaborations, affiliations and partnerships deploying a variety of models. One of our strengths is advising clients on potential transaction models with the ultimate goal of structuring a transaction that best suits the parties' business, financial and mission objectives. We commonly outline a continuum of transaction options and their attendant legal considerations, advantages and disadvantages.

Katten also assists in the development and implementation of joint venture arrangements, including freestanding clinics and outpatient facilities, and other cooperative ventures among health care providers. Our attorneys develop creative alternative structures for delivering health care that meet patient management goals while taking into account antitrust considerations, maximizing tax and revenue benefits to the participants, and minimizing financial and professional risk exposure. We structure exempt/non-exempt joint ventures to achieve business objectives while protecting the tax-exempt status of the exempt party and advise on tax issues that arise in merger, acquisition and affiliation transactions.

Our depth of experience in every conceivable form of physician transaction enables us to help clients develop broad-based strategies to support the growth and operation of physician organizations. We assist clients with physician practice acquisitions and physician joint ventures and have a vast base of forms to implement these transactions. We advise on all types of contracts, including bylaw and operating agreements, service line co-management agreements, exclusive provider agreements, physician recruitment agreements, management and other vendor relationships and agreements, and employment and compensation agreements. Our attorneys are adept at identifying the regulatory issues associated with these arrangements and ensuring that transaction structures comport with applicable requirements, as well as all parties' financial, mission, religious, cultural and political imperatives.
