Overview

Farzad F. Damania focuses his practice on capital markets and securities law, mergers and acquisitions, and general corporate law. He regularly works with issuers and underwriters on capital markets transactions, which include initial public offerings, follow-on offerings, tender offers, and high-yield debt transactions, as well as on direct investments made by private equity acquirers, sellers and co-investors. Public companies come to Farzad to consult on corporate governance issues, securities law compliance and stock exchange regulations. He counsels public and private companies, private equity sponsors and investors on acquisitions, dispositions, and the purchase and sale of debt and equity securities.

Farzad has represented a number of strategic and financial buyers and sellers in domestic and cross-border M&A transactions spanning a wide variety of industries, including food and beverage, health care, mining, retail, technology, and telecommunications. His cross-border experience includes capital markets and M&A transactions with clients in diverse markets from Canada and Europe to China, India and Japan.

In addition, Farzad also counsels US public companies and foreign private issuers in connection with SEC, NYSE and NASDAQ filings and compliance. He advises public companies, their board committees and executive officers, in connection with matters of corporate governance and proxy advisory firm requirements. He also advises businesses on corporate social responsibility, as with issues like the SEC's conflict minerals rule.

Farzad is an author and frequent speaker on securities matters. Prior to joining Katten, he was a special counsel at an Am Law 100 firm in New York.
