Farzad F. Damania focuses his practice on capital markets and securities law, mergers and acquisitions, and general corporate law. He is regularly engaged on capital markets transactions, including initial public offerings, follow-on offerings, tender offers, and high yield debt transactions as well as direct investments by private equity acquirers, sellers and co-investors. He also represents public companies on corporate governance issues, securities law compliance and stock exchange regulations.
Farzad counsels US public companies and foreign private issuers in a broad array of industries in connection with SEC, NYSE and NASDAQ filings and compliance. He advises public companies and their boards, board committees and executive officers in connection with corporate governance matters and proxy advisory firm requirements.
Farzad counsels public and private companies, private equity sponsors and investors in tender offers and consent solicitations, acquisitions, dispositions, and the purchase and sale of debt and equity securities. He has represented strategic and financial buyers and sellers in domestic and cross-border M&A transactions spanning a wide variety of industries, including food and beverage, health care, retail, technology, and telecommunications.
He also advises companies on corporate social responsibility, including the SEC's conflict minerals rule.
Farzad is a frequent speaker and author on securities matters.
Prior to joining Katten, he was a senior counsel at an Am Law 100 firm in New York.
