Overview

Christopher M. Locke is a health care transactional attorney. He represents health care industry clients, including hospitals, management companies, physician practices, ambulatory surgical centers, medical device manufacturers and pharmaceutical companies in mergers and acquisitions, joint ventures, private placements, employment agreements, equity incentive plans and commercial agreements.

Chris counsels health care industry clients with respect to issues involving Medicare and Medicaid fraud and abuse, anti-kickback, physician self-referral, general corporate, securities and employment laws.

Chris also serves as outside general counsel to many of the firm's clients, including medical practices and hospital systems, and guides such clients' management and boards of directors with respect to a wide range of issues.

Chris also represents commercial finance clients with respect to regulatory due diligence in connection with credit financings of acquisitions of health care entities.

A former special agent with the Federal Bureau of Investigation, Chris also represents health care and other companies in governmental investigations. Chris was presented with an award for public service by the United States Attorney's Office for the District of Columbia for one of his FBI counterterrorism cases.

  • Representation of a urology practice in Tennessee in a sale transaction with a private equity fund-backed management entity.
  • Representation of an ambulatory surgical center in Maryland and its owners in the sale of 60% of its outstanding equity to a national management company.
  • While at a prior firm, representation of a management company and affiliated urgent care practice in New York in its acquisition by a private equity fund.
  • While at a prior firm, representation of a large physician practice in New York in its acquisition by a hospital system.
  • Representation of a management company in its formation, financing and affiliation with a fertility practice in California and New York.
  • Representation of a national hospital system in a joint venture with a university medical center with respect to a rehabilitation hospital in New Mexico.
  • Representation of a national hospital system in the acquisition of assets and assumption of operations of a rural hospital in Oklahoma.
  • Representation of seven Colorado oncology groups in their combination into one entity.
  • Representation of a teletherapy provider in its negotiation of payor contracts and regulatory issues.

  • Representation of a start-up telemedicine device manufacturer in its formation, numerous rounds of equity and debt financing and numerous commercial agreements with vendors and distributors.
  • While at a prior firm, representation of a start-up virtual security device developer in its formation, numerous rounds of equity financing and commercial agreements with vendors and distributors.
  • While at a prior firm, representation of a small public health care company in numerous PIPE rounds, Exchange Act reporting and an uplisting from OTC to NASDAQ.
