Kimberly Broder represents domestic and offshore hedge funds, including fund of funds, investment managers, banks, family offices and fintech broker-dealers on a variety of corporate, securities, finance and other regulatory matters. She provides structuring, organization and ongoing advice related to hedge funds that employ a broad range of investment strategies. She regularly counsels investment managers on registration and regulatory matters, including the need for registration, conflict of interest disclosures, and the preparation of compliance policies and procedures. Kimberly also advises on insurance-dedicated funds (including bank-owned, insurance company-owned and corporate-owned life insurance (BOLI, ICOLI, COLI)) and tax-efficient funds.

In addition, she handles matters related to structured products, repurchase and reverse repurchase agreements, synthetic repos, transactional financing/lending law, securities lending agreements, and prime brokerage agreements (including enhanced leverage platforms and other structured products using prime brokerage and repo-based structures).

Prior to joining the firm, Kimberly spent three years as an auditor at Andersen LLP where she focused her practice in the insurance, banking and real estate markets. While at Andersen, she reviewed, consulted and aided in the preparation of consolidated annual reports, financial statements and regulatory filings, as well as audited year-end and quarter-end financial statements for various public and private clients.

In law school, Kimberly was a Justice John Marshall Harlan Scholar.
