John Domby focuses his practice on commercial real estate financing transactions and related matters, with an emphasis on closing new originations of CMBS loans.

Shown below is a selection of John’s engagements.

  • Representation of banks and funds in connection with various commercial real estate and mezzanine loan transactions, including origination of conduit mortgage loans, bridge financing and mezzanine loans, portfolio loans, whole loan sales and modifications.
  • Issuance of 10b-5 opinions in connection with closing of securitization.
  • Provision of advice to clients regarding complex loan structuring issues, including Delaware statutory trust financing, bond financing tax credit structures, various REMIC issues, Historic Tax Credit finance structures, Islamic finance arrangements and Bahamian collateral trust finance structures.
  • Provision of advice to clients regarding establishment of warehouse lending facility for securitized lending platform and negotiation of related documentation.
