Attorneys Bruce Vanyo, Richard Zelichov and Christina Costley Discuss Say-on-Pay Lawsuits in Business Law Today

Litigation attorneys Bruce Vanyo, Richard Zelichov and Christina Costley authored an article for the November 2012 issue of the ABA's Business Law Today regarding the increase in shareholder lawsuits following implementation of the Dodd-Frank Act, which requires a shareholder advisory vote on executive compensation. The article discusses how the plaintiffs' bar is bringing putative class actions based on purported omissions of material information in companies' proxy statements; the suits seek injunctive relief, rather than damages, and are filed in the companies' principal places of business instead of Delaware. While plaintiffs are obtaining mixed results, the authors anticipate such filings will accelerate despite mischaracterization of claims.
