Qualifications and Career Profile

Wendy E. Cohen’s practice focuses on representing investment managers and other sponsors of domestic and offshore securities and commodities hedge funds, funds of funds and other public and private pooled investment vehicles, as well as their service providers, including their managers, brokers, financial intermediaries and other financial institutions, and investment professionals. Ms. Cohen provides advice on all corporate and related matters affecting these investment funds, including optimizing structure and organization and advising on all aspects of ongoing operations, restructuring and/or dissolution, as the case may be. Ms. Cohen has specific expertise in the areas of domestic and offshore offering requirements, 1933 Act and 1934 Act compliance, application of Advisers Act regulation and 1940 Act avoidance.

Ms. Cohen joined the firm in September 1986 immediately following her graduation from law school and has been practicing in the Financial Services area generally, with a focus on public and private investment funds, since 1987.

Ms. Cohen is Co-President of UJA Federation of Westport, Weston, Wilton and Norwalk.

Education and Bar Admissions

Ms. Cohen received her Bachelor of Arts magna cum laude from the University of Pennsylvania (1983) and earned her Juris Doctor from New York University School of Law (J.D., 1986) where she was Managing Editor of the Moot Court Board. She is admitted to practice in New York (1987) and Connecticut (2000).
