Virginia "Ginger" A. Davis concentrates her practice in the area of commercial real estate finance, representing real estate investment trusts, commercial banks, finance companies and other institutional and non-institutional lenders. In addition to mortgage facilities (construction, development, permanent, conduit, subordinate and leasehold) and mezzanine loans, she handles sophisticated participation, co-lender and other intercreditor relationships and tax-exempt bond financings. The underlying real property assets are located throughout the United States and include hotel, office, retail, condo, condo-hotel, multifamily, mixed-use and residential and commercial land. Ms. Davis has significant experience with historic and low-income housing tax credit transactions, and has handled mortgage pool transactions and single asset and portfolio acquisitions and dispositions. More recently, she has been extensively involved in loan workouts, restructurings, enforcement proceedings (including foreclosures) and conveyances in lieu of foreclosure on behalf of commercial lenders. She is a member of the firm’s Distressed Asset Team.
Her representative transactions include:
- Senior mortgage loan for historic rehabilitation of hotel with 12 subordinate capital sources, including historic tax credits, brownfield single business tax credits and a conservation easement
- Over 100 privately placed tax-exempt bond financing involving low-income housing tax credit equity
- Co-senior mortgage loan for construction of flagged condo-hotel
- Warehouse line for real estate investment trust
- Disposition of portfolio of 32 properties in eight jurisdictions leased to auto dealerships
- Co-senior mortgage loan and mezzanine loan for construction of condominium project
- Mortgage loan on co-operative conversion
- Leasehold mortgage loans on ground leased properties
- Mortgage loan for development of residential land with golf course
Ms. Davis obtained her B.A. from Auburn University
, with highest honors
, and her J.D. in 1991 from Harvard Law School, where she was executive editor of the
Journal of Law and Public Policy. She is a member of the District of Columbia Bar Association, American Bar Association and Mortgage Bankers Association.
