Todd J. Emmerman is Head of the New York Mergers and Acquisitions Practice and Securities Practice.

Mr. Emmerman’s practice encompasses a broad range of transactional and securities law matters. He regularly advises public and privately held buyers and sellers and their boards of directors (and committees of independent directors), securities issuers and investors, investment bankers, joint venturers and other transaction participants in a variety of transactions. These include mergers and acquisitions, financing (both debt and equity, including PIPEs), Section 363 bankruptcy sales, contested transactions, tender offers, proxy solicitations, going private transactions, leveraged recapitalizations and reverse mergers. Mr. Emmerman’s experience spans a broad range of asset classes and industries, including infrastructure, logistics, Great Lakes shipping and real estate, and includes cross-border transactions.

Mr. Emmerman serves as general counsel for a number of his public and privately held clients, providing practical, value-added advice on a wide range of matters–including strategic growth initiatives, capital structure formation and reformation and securities, financial, employment, regulatory, litigation and other recurring matters–and deploying and coordinating necessary legal resources in an efficient and optimal manner. For his public company clients, Mr. Emmerman also regularly provides counsel concerning corporate governance matters and SEC reporting and disclosure issues.

Mr. Emmerman has significant experience in the representation of special purpose acquisition companies (SPACs) in their initial business combination transactions and related financing activities, both debt and equity, as well as in the related SEC and shareholder approval process and continuing public company compliance and reporting. His SPAC experience includes the successful acquisition of Lower Lakes Towing Ltd. and Grand River Navigation Company, Inc. by Rand Acquisition Corp. (n/k/a Rand Logistics, Inc. – NASDAQ: RLOG) and the successful acquisition of Essex Crane Rental Corp. by Hyde Park Acquisition Corp. (n/k/a Essex Rental Corp. – NASDAQ: ESSX).

Mr. Emmerman received his B.S.B.A., with honors, from Boston University School of Management in 1987 and his J.D. from Boston University School of Law in 1990. He is admitted to practice in New York.
