Representing the Technology Developer
The hallmark of the Technology Practice at Katten is the representation of the developers of technology. We have represented some of the largest and most innovative developers of advanced technology in the Chicagoland area and nationally. The legal issues facing developers of technology are far ranging, running the gamut from personnel issues and contractual negotiations to intellectual property protection and enforcement. Whether the technology is software, electronics or bio-technology, Katten’s Technology Practice has experience in the broad range of legal needs of the developer:
- Intellectual property protection, including employee and inventor agreements, complex confidentiality arrangements that allow for disclosure but create necessary protective measures for the developer, and patent prosecution nationally and internationally covering software, electronics and biotechnology
- Licensing transactions, both with end users and with other developers of technology, and including special arrangements involving platform development, source code licensing and escrows, and other arrangements allowing developers to exploit technology through various channels
- Service contracts for installation, implementation, support and maintenance and consulting services, as well as other “managed services”
- Software development agreements, with complex bonuses and penalty provisions
- Distribution arrangements both on the wholesale and retail, national and international level, including value-added reseller agreements and OEM agreements

E-Business
As the distinction between e-commerce and commerce has all but disappeared, e-business initiatives have become essential to maintaining an efficient, competitive enterprise. Successful businesses and their legal advisors require a comprehensive mastery of both traditional business issues as well as Internet-generated issues.
Our attorneys are experienced in helping clients transform their ideas into new online businesses and develop new electronic means for delivering existing products and services. For example, over the past several years, we have helped clients adapt their businesses to accommodate new delivery models, including ASP and various forms of “cloud computing,” such as SaaS (software-as-a-service), PaaS (platform-as-a-service) and IaaS (infrastructure-as-a-service).
Our e-commerce and Internet practice involves both the ongoing representation of companies doing business online and special engagements by companies seeking our knowledge.
We are experienced in the whole range of concerns regarding doing business online:
- Privacy matters, including formulating privacy policies, and compliance with Gramm-Leach-Bliley, HIPAA and COPPA (Children’s Online Privacy Protection Act), counseling regarding the European Union’s Privacy Directive and the Department of Commerce Safe Harbor provisions
- Advertising issues, including conduct of online promotions and contests
- Online contracting, including the preservation, authentication and enforcement of online agreements, digital signatures and e-sign legislation
- Emerging issues, such as jurisdictional questions (including jurisdiction under state laws governing various types of financial products), the identification and confirmation of ownership of digital elements of e-commerce sites, and live and on-demand programming
International Transactions
In our global economy, it is not surprising that our clients are often involved with cross-border transactions, including licensing to customers throughout the globe. We have represented U.S. companies in transactions with foreign entities, and foreign entities in transactions with U.S. entities.

Represent Harrisdirect, a leading provider of direct investing services to investors and part of The Harris wealth management group, including Harris Trust and Savings Bank, in connection with the legal aspects of its online operations,
including in procuring software, professional services and support with leading providers of software solutions for the financial services industry.

Represented Educational Advancement Fund, a nonprofit formed by three Chicago-based universities, in the acquisition and implementation of all telecommunications facilities (satellite TV, internet and telephone)
for a unique, inner-city student housing and retail complex combining residential, educational and recreational amenities. (See Case Study below).

Represented HedgeFund.net, a leading source of hedge fund news and performance data on the web, in a licensing transaction with Lehman Brothers, the global investment bank.
The transaction will enable Lehman Brothers to launch a series of hedge fund indices based on the HedgeFund.net database.

Represented Immune Cell Therapy, Inc., a cancer vaccine company, in its negotiations to acquire exclusive patent rights from the University of Illinois.

Represented Mobitrac, Inc., which develops advanced enterprise software to improve fleet productivity and lower costs for delivery services, in its Series C Preferred Stock offering led by USVP.
Also participating were Frazier Technology Ventures and existing investors Illinois Ventures and ARCH Venture Partners.

Represented SmartSignal Corporation, a developer and distributor of advanced pattern recognition software for the surveillance of sensors and sensor data, in a preferred stock offering which included Mitsui & Co., Ltd. and existing investors.

Telecommunications Acquisition and Implementation for Downtown Student Housing/Retail Complex
DePaul University, Roosevelt University, and Columbia College, three major universities with campuses in the downtown Chicago area, were all experiencing rising student enrollments and becoming increasingly pressed for space. In particular, each university was searching for ways to accommodate the growing demand for new student living facilities. In an unprecedented transaction, the three universities joined together to create Educational Advancement Fund ("EAF"), a non-profit corporation formed for the purpose of financing and building the University Center of Chicago, a 700,000 square foot complex in downtown Chicago.
