Scope of Practice

The Structured Products Practice regularly advises financial institutions, derivatives dealers and hedge fund and other asset managers in structuring, negotiating and documenting hedge-fund linked and other structured investments as well as a full range of exchange-traded and over-the-counter (OTC) derivatives.  Our representations also include advising our clients concerning securities, commodities and banking law compliance and regulatory matters as well as domestic and cross-border tax issues.  We also provide ongoing advice concerning the trading, marketing and sales of OTC and exchange-traded derivatives and structured products.  Attorneys in the practice apply an interdisciplinary approach in providing comprehensive solution-focused legal services.

Breadth and Depth of Experience

Our attorneys have extensive experience concerning:

  • CDOs and CLOs and other domestic and cross-border securitization transactions;
  • credit-linked notes, total return swaps and credit default swaps;
  • equity swaps, options, collars and forwards, including prepaid variable forwards;
  • ISDA Master Agreements covering a full range of OTC derivatives;
  • financial futures and many other exchange-traded futures contracts;
  • repurchase and reverse repurchase agreements;
  • securities lending agreements, swaptions, ASCOTs and GICs
  • energy and municipal derivatives;
  • synthetic refundings, financial guaranty insurance, and stable-value insurance products; and 
  • muni-bond finance and trust structures.

Our experience extends to:

  • hedge fund lending transactions, options, swaps and warrants;
  • principal protected hedge fund-linked notes (e.g., CPPI, Zero + Call);
  • business trust, hedge fund linked and principal protected certificates;
