SOX 404(b): A Practical Approach for Smaller Public Companies

On October 2, 2009, the SEC announced that the date for compliance by smaller public companies (public float under $75 million) with the SOX 404(b) requirement has been extended from beginning with fiscal years ending on or after December 15, 2009, to fiscal years ending on or after June 15, 2010. On October 13, 2009, the SEC issued a final release related to the extension.
