Samantha Warshauer represents various participants in the structured finance market, including issuers, underwriters, credit enhancers, lenders and borrowers, in corporate and capital market transactions. She has been involved in a variety of transactions, including asset-backed and mortgage-backed securities offerings (with an emphasis on automobile loan, mortgage loan and HELOC securitizations), warehouse financing programs, residual financings, revolving credit facilities and term loans, equipment lease securitizations and warehouses, and cross-border securitizations. Ms. Warshauer has represented clients in the U.S. market as well as in international markets, including Latin America.

Recently, Ms. Warshauer has worked with a large auto industry issuer on a number of Rule 144A dealership floorplan auto loan securitizations (including issuances of securities constituting eligible collateral under the Term Asset-Backed Securities Loan Facility (TALF) established by the Federal Reserve Bank of New York). She has also helped to advise regulators, lawmakers and trade groups on policy issues regarding the future of commercial mortgage-backed securitizations and the federal housing finance market. Most recently, Ms. Warshauer has represented a U.S. broker-dealer in a cross-border mortgage-loan securitization (the second mortgage-loan securitization in the marketplace for 2010).

Ms. Warshauer received her bachelor's degree, cum laude, from Yale University in 2002, and her law degree, cum laude, from Fordham University School of Law in 2005. She is admitted to practice in New York.
