Rori H. Malech concentrates her practice in the area of commercial real estate development and finance, representing local and national developers, real estate investment trusts, institutional equity investors and institutional and non-institutional lenders. Ms. Malech focuses on a wide range of transactions, including acquisitions, dispositions, financings (for borrowers and lenders), workouts and equity and debt participations involving a variety of assets types throughout the United States, including mixed-use development, office, retail, hotel, condominium, multi-family and residential and commercial land. More recently, she has been extensively involved in restructuring joint ventures and investments for her developer clients as well as loan workouts, restructurings and enforcement proceedings (including foreclosures) on behalf of commercial lenders. She is a member of the firm’s Women’s Leadership Forum and Sustainability and Climate Change Practice.
Recent representative transactions include:
- Represented a developer in the restructure of a $200 million real estate portfolio of undeveloped land, hotels, mixed-use, office and development holdings in California and Texas.
- Represented an equity investor in a $50 million sale of the retail component and a $61 million sale of the apartment component of an urban mixed-use project in Washington, D.C.
- Represented a developer in the purchase of over 600 finished and unfinished lots in a residential development in Prince George's County, Maryland, as well as in the outsale of finished lots to homebuilders.
- Represented an equity investor in a $262 million purchase of two office buildings and a development parcel located in Washington, D.C.
- Represented an institutional lender in connection with several workouts and foreclosures of defaulted first lien mortgage loans in the Mid-Atlantic and Southwest regions of the U.S.
