Qualifications and Career Profile

Robert Weiss focuses his practice on a variety of hedge fund, private equity fund and fund-of-funds related matters. He regularly advises banks, financial institutions and investment funds with respect to hedge fund lending transactions and other leverage transactions, including those involving total return swaps, call options and other structured products. He also counsels and represents numerous domestic and offshore hedge funds, private equity funds, fund-of-funds, managed account platforms, commodity pools, family offices, investment managers and broker-dealers on an ongoing basis.

Mr. Weiss also has extensive experience on a broad range of corporate related matters, including representing acquirers and target companies in public and private mergers and acquisitions; providing advice and counsel in corporate finance, bank finance and venture capital finance transactions; and representing clients in joint ventures, strategic alliances and general corporate and limited liability company matters.

Mr. Weiss is experienced in the structuring, negotiation and documentation of stock and asset acquisitions, mergers, leveraged buy-outs, split-ups, divestitures, tender offers, private placements of debt and equity securities and secured financing transactions.

Associations and Committees

Mr. Weiss is a member of the American Bar Association’s Hedge Fund Committee, Federal Regulation of Securities Committee and Legal Opinion Committee. He is a member of the ABA’s Section on Business Law and is a member of the New York State Bar Association.

Lectures

Mr. Weiss has lectured extensively on a variety of legal topics, including those relating to hedge fund lending, swaps and derivatives, hedge fund and fund-of-fund structuring, limited liability companies and legal opinions.

Education and Bar Admissions

Mr. Weiss earned his B.A., summa cum laude, from Brooklyn College (1982), and his J.D. from Columbia Law School 1985), where he was a Harlan Fiske Stone Scholar. He is admitted to practice in New York (1986).
