Mergers and Acquisitions
Each year our practice handles billions of dollars in business combinations ranging from privately negotiated transactions to transactions involving public companies. Katten advises clients on all matters that arise in a transaction, including due diligence, transaction structuring and tax planning, equity and debt financing, transition and integration issues, governance and public disclosure considerations, and negotiating and drafting transaction documents. Katten has represented clients in matters throughout the world, including global companies and funds in numerous “inbound” U.S. transactions. Our established worldwide network of highly qualified foreign counsel gives our clients global coverage and instant access.
Securities
Our securities team includes 150 attorneys across our Securities, Securities Litigation and Financial Services practices, in the United States and London. Our attorneys provide sophisticated regulatory advice to public and private companies and other financial market participants. We have extensive experience with SEC disclosure and other public company requirements, regulation of broker-dealers, securities markets, investment funds and investment advisors, as well as the regulation of futures and derivatives.
Private Equity
Our Private Equity Practice has earned its reputation as a trusted partner that works with private equity sponsors and their portfolio companies to maximize the value of their investments from entry through exit. Attorneys in the group have handled hundreds of private equity transactions ranging in size from under $10 million to over $4 billion.
Company Representation
Many of the firm’s partners have served as general counsels for publicly held corporations, privately held companies and nonprofit organizations. We frequently act as general counsel and advisors to companies and their boards of directors, handling both day-to-day matters and significant transactions, assisting with regulatory filings and compliance matters, and preparing and negotiating all manner of contracts. We provide innovative, strategic legal and business counsel, and a skillful management approach to matters, helping clients to manage all of their legal issues most effectively.
