David A. Pentlow

Qualifications and Career Profile

David Pentlow concentrates his practice in corporate and securities law, structured products and derivatives. Mr. Pentlow represents underwriters, publicly traded companies, financial institutions, hedge funds and other institutional investors, in the offering, purchase, structuring and negotiation of securities, derivatives and other financial products, including registered public securities offerings (including initial public offerings, follow-on offerings, "at-the-market" offerings and registered direct offerings), private securities offerings (including 144A and PIPE transactions), lending, structured notes, and equity derivatives. He also has extensive experience advising public companies and investors regarding ongoing compliance with federal securities laws, corporate governance and applicable stock exchange listing rules, as well as tender offers, proxy solicitations, and going private transactions. He also advises corporate clients in public and private mergers and acquisitions, reorganizations and debt restructurings, and general corporate matters.

Mr. Pentlow also represents not-for-profit corporations and other exempt organizations in a range of matters including formation, mergers and acquisitions, compliance with applicable fundraising laws and regulations and applications for tax-exempt status.

Mr. Pentlow is admitted to the Massachusetts State Bar and the New York State Bar, and is a member of the American Bar Association and New York State Bar Association.

Education

Mr. Pentlow received his undergraduate degree cum laude (A.B, 1995) from Harvard University and his law degree (J.D., 2000) from Georgetown University.
