Nancy Laethem Stern represents publicly and privately held companies in acquisitions and disposition transactions, including mergers, asset and stock acquisitions and dispositions and employee stock ownership plan (ESOP) transactions. Ms. Stern generally focuses on providing practical and efficient solutions in transactions priced at less than $250 million.
Ms. Stern counsels ERISA fiduciaries on the exercise of their duties in the context of a corporate transaction and works closely with other members of our ESOP practice. She helps ESOP companies with transactional issues, corporate governance matters, securities issues and subordinated debt and equity-based financing arrangements. Ms. Stern has extensive experience coordinating complex ESOP transactions.
Ms. Stern counsels companies on matters of general corporate law and advises clients with respect to litigation and alternative dispute resolution. In addition, she counsels United States public companies and foreign private issuers with respect to their periodic reporting, corporate governance and other obligations under United States securities laws.
Ms. Stern is an active member of The ESOP Association and the Association for Corporate Growth. She also serves on the Board of Directors and as Corporate Secretary of Reading is Fundamental in Chicago.
Ms. Stern received her law degree and undergraduate degree in economics from the University of Michigan (J.D., 1994; A.B., with distinction, 1991). She served as law clerk to the Honorable Robert H. Cleland, United States District Judge (1994-1996). Ms. Stern is admitted to practice in Illinois.
