Katten’s Mergers and Acquisitions Practice handles complex domestic and international transactions for a wide range of clients, including publicly and privately held companies, financial institutions, and private equity and investment funds and their portfolio companies.

Each year our practice handles billions of dollars in business combinations ranging from small, privately negotiated transactions to mergers, tender offers and other transactions involving public companies. We understand our clients’ business needs and we work with them to create value at every stage of the deal, from the initial bidding or negotiation process through closing. We pride ourselves on staffing transactions with lean, experienced teams of attorneys who work together in an effective and cost-efficient manner across the range of disciplines necessary to complete a transaction.

Katten provides clients with thoughtful, pragmatic advice in solving issues that arise in a transaction, including with respect to due diligence, transaction structuring and planning, equity and debt financing, strategy and implementation, transition and integration issues, governance and public disclosure considerations, and negotiating and drafting transaction documents. Our clients benefit from our diverse transactional and industry experience, particularly in regulated industries such as health care and financial services.

Our public M&A practice includes representing targets and bidders in seller-initiated auctions, negotiated transactions and tendering or responding to unsolicited offers. Our publicly held clients also benefit from our experience in designing and implementing defensive controls. We regularly advise financial advisors, special committees, private equity investors and commercial lenders in their respective roles in complex transactions.
