Katten Represents Neurologix in Biotech PIPE Offering

NEW YORK - The law firm of Katten Muchin Rosenman LLP served as legal counsel to Neurologix Inc., a biotech company engaged in the research and development of innovative gene therapies for the brain and central nervous system, in a recently completed private placement of $15 million of its newly created Series D Convertible Preferred Stock at a price of $35.00 per share. In addition, Neurologix issued warrants to purchase approximately 3,232,758 shares of its common stock at an exercise price of $1.39 per share. The purchasers in the transaction were General Electric Pension Trust and Corriente Master Fund LP. The proceeds from the transaction, net of expenses, will be used to finance a Phase II clinical trial for the treatment of Parkinson’s disease, a Phase I clinical trial for the treatment of epilepsy and for corporate purposes.
Katten partners, David B. Hertzog and Evan L. Greebel represented Neurologix on the transaction, together with associate, Robin Goldstein. All are based in the Firm’s New York office. Katten also provides legal services to Neurologix on general corporate matters, including SEC matters.
