Jack P. Governale

Jack Governale is a partner in the Financial Services Practice of Katten Muchin Rosenman LLP and focuses his practice in the area of investment management. He has extensive experience structuring and organizing domestic and offshore hedge funds, funds-of-funds, venture capital funds and private equity funds, and representing fund managers, commodity pool operators, investment advisers and commodity trading advisors both in the United States and abroad. Mr. Governale regularly advises private investment funds and their investment managers on securities and futures regulatory matters arising under the Securities Act, the Securities Exchange Act, the Investment Company Act, the Investment Advisers Act, the Commodity Exchange Act and the Dodd-Frank Wall Street Reform and Consumer Protection Act, as well as on tax and other issues related to the operation of private investment funds.

Mr. Governale is a frequent speaker at hedge fund seminars. His article “Applying the Act to Non-U.S. Advisers to Private Investment Funds” was published in The Hedge Fund Journal (London, June 2011). He co-authored the treatise “U.S. International Taxation: Practice and Procedure” (Warren Gorham & Lamont, 1997) and was a contributing author to “U.S. International Transfer Pricing” (Warren Gorham & Lamont, 1994).

Mr. Governale graduated from New York University in 1977, and received his J.D. from Brooklyn Law School in 1980. He was admitted to the New York Bar, the U.S. District Courts for the Southern and Eastern Districts of New York and the U.S. Tax Court in 1981, and to the New Jersey Bar in 1989. He is a member of the New York City Bar Association.
