Ethan E. Rii concentrates his practice in health care matters, counseling clients in a wide range of business and regulatory issues pertaining to professional practices, hospitals and health systems, and various ancillary service providers.
Mr. Rii has substantial experience in hospital/physician joint ventures, including the development and formation of ambulatory surgery centers, diagnostic imaging centers, cancer centers, cardiac catheterization laboratories and other service line joint ventures. He also represents clients in mergers, acquisitions and affiliations of health care entities, as well as addressing Medicare and Medicaid fraud and abuse (physician referral and anti-kickback), certificate of need, licensure and managed care issues.
Mr. Rii’s representative matters include:

Representing a multi-region medical system in the formation of a joint venture cancer center, negotiating key deal terms and addressing federal and state regulatory and licensing issues.

Conducting regulatory due diligence on the acquisition of a nonprofit health system.

Participating in the development of a joint venture heart center of excellence, including the drafting of all transaction documents.

Counseling a regional nursing home provider in the acquisition of a home health company as primary transaction counsel.

Assisting in the development of a specialty hospital, including drafting the certificate of need application and addressing licensure and reimbursement issues.

Participating in comprehensive due diligence review in connection with the acquisition of a national pharmacy provider.
Mr. Rii earned his Bachelor of Arts from the University of Michigan in 1997 and his Juris Doctor from the University of Minnesota Law School in 2002. He is admitted to practice in Illinois and Michigan.
