Recently, The Prudential Insurance Company of America and the Principal Financial Group have announced plans to demutualize. In each case, the life insurance company will change its ownership structure from that of a mutual life insurance company to a stock insurance company via an initial public offering. This article discusses the various complex issues to be addressed by benefit plan fiduciaries who hold contracts with these insurance companies.
