Efrain Miron concentrates his practice in corporate and entertainment and media matters.
Mr. Miron advises clients in connection with a variety of general corporate and corporate finance matters, and assists in drafting, reviewing and negotiating agreements, including principal and ancillary commercial, acquisition and financing documentation. He has extensive experience advising clients in connection with matters involving formation, governance, acquisitions, divestitures and reorganizations.
Mr. Miron has represented a variety of clients in a broad range of transactions, including:
- private equity firms in leveraged acquisitions;
- growth enterprises in accessing capital markets;
- construction and engineering professionals with respect to infrastructure projects; and
- financial sponsors, as well as debtors, in connection with transactions consummated pursuant to Section 363 of the U.S. Bankruptcy Code.
Mr. Miron has represented entertainment and media clients in transactional matters relating to rights management, licensing and new media business ventures. He has assisted in the structuring and execution of international entertainment and media joint venture arrangements in Latin America and the UK. In addition, Mr. Miron represents producers, distributors and device manufacturers on matters relating to digital distribution of motion pictures and television programming.
Mr. Miron earned his Bachelor of Arts degree,
magna cum laude with departmental honors, from the University of Southern California in 2005, and his Juris Doctor from UCLA School of Law in 2008. While in law school, Mr. Miron was elected to serve three consecutive terms as a representative to the Student Bar Association. Mr. Miron is a member of the American Bar Association and the Latin Business Association. He is admitted to practice in California.
