David H. Landau's practice includes mergers and acquisitions for both public and private companies; the representation of issuers and investment banks in equity offerings, high yield debt offerings and investment grade debt offerings; securities regulatory counseling; joint ventures; and general corporate counseling.

Mr. Landau’s representative transactions include the following:

• Representation of a Special Committee of independent directors of Covansys Corporation’s Board of Directors in connection with the company’s acquisition by Computer Sciences Corporation
• Representation of PVH Corp. in its acquisition of the assets of Superba, Inc.
• Representation of iStar Financial Inc. in its sale of its interests in Oak Hill Advisors and its affiliates
• Representation of Merrimac Industries, Inc. in its merger with Crane Co.
• Representation of B. of A. Merrill Lynch as lead underwriter for bond offerings by the Province of Nova Scotia
• Representation of PVH Corp. in its acquisition of Calvin Klein, Inc.
• Representation of PVH Corp. in numerous debt and equity securities offerings
• Representation of Ariel Holdings Ltd. In its sale of Valiant Insurance Group, Inc.
• Representation of iStar Financial Inc. in its purchase of a substantial interest in Oak Hill Advisors and its affiliates

Mr. Landau received his BS, cum laude, from the Wharton School of the University of Pennsylvania and his JD from New York University School of Law, where he was an articles editor of the Journal of International Law and Politics.
