Daniel B. Lange concentrates his practice in employee benefits and executive compensation matters.
Mr. Lange has worked extensively with employee plans representing buyers, sellers, management and lenders in the context of corporate transactions—including restructurings, mergers and acquisitions, as well as transactions involving company stock held by ESOPs. Mr. Lange has also represented many companies and employees in structuring and implementing executive compensation packages, in addition to broad-based equity and incentive compensation arrangements. He has helped clients to understand and comply with the various tax laws affecting executive and equity compensation, including the deferred compensation rules under Code Section 409A, and the performance-based compensation requirements of Code Section 162(m). Mr. Lange has broad experience assisting clients with structuring, drafting and implementing welfare benefit programs (including severance, health, disability, etc.), as well as substantial experience in ensuring that plans follow qualification guidelines and meet other administrative requirements. In addition, Mr. Lange has aided clients in establishing plan administration committees to help reduce or avoid personal liability for plan oversight, and utilizing IRS and Department of Labor corrections programs in order to minimize penalties and fees associated with qualification and administrative errors.
Mr. Lange earned his Bachelor’s Degree from the Jewish Theological Seminary of America in 1997 and his Juris Doctor from the Washington University School of Law in 2001. He is admitted to practice in Illinois.
