This article reviews the basics of covered bonds, which may become a competitive alternative to mortgage-backed securities.

Covered Bonds Team

With the housing turmoil and credit crisis restricting the securitization of residential mortgage loans, covered bonds have emerged as a potential alternative method of on-balance sheet financing of these loans. Although there have been only two U.S. covered bonds issuances to date, a large and liquid market for covered bonds has existed in Europe for many years, and many expect that recent guidance issued by the FDIC and the Department of the Treasury will spur the growth of the U.S. covered bonds market.

Katten’s Covered Bonds Team is an interdisciplinary team of attorneys from the firm’s Structured Finance and Securitization Practice. These attorneys have the breadth of structured finance, banking, derivatives and tax knowledge necessary to assist clients in structuring and executing successful covered bond transactions both in the United States and in Europe, though our London affiliate, Katten Muchin Rosenman UK LLP.

Members of the Covered Bonds Team actively participate in American Securitization Forum and SIFMA projects to develop the market for U.S. covered bonds, including the U.S. Covered Bonds Council. We regularly speak at industry conferences and events, are quoted in the press, publish articles and advisories, and teach CLE courses on covered bonds topics.
