Brooks T. Giles concentrates his practice in corporate matters, with a focus on private company mergers and acquisitions, venture financing and joint ventures. Mr. Giles has represented both buyers and sellers in structuring, negotiating and documenting acquisitions, including stock purchases, asset sales, tax-free mergers and leveraged buyout situations. Mr. Giles has been involved in transactions covering the entire life cycle of start-up ventures, from angel round financings through Series A-F rounds and beyond, up to and including IPOs. Mr. Giles also has experience in public and private corporate finance transactions, including registered and 144A debt offerings and registered equity offerings. Mr. Giles’s public company experience includes mergers, tender offers, hostile proxy contests and general corporate advice, including poison pills. He has represented clients in numerous industries, including health care technology and services (including physician groups and outpatient services), food manufacturing and distribution, and industrial manufacturing and technology.

Mr. Giles is a published author, having co-authored Stockholders’ Agreements Line by Line: A Detailed Look at Stockholders’ Agreements and How to Change Them to Meet Your Clients’ Needs (Thomson Reuters/Aspatore Books, October 2011). He also authored “Delaware court upholds poison pill to preserve NOLs” for the Journal of Taxation (Vol. 112 No. 4, April 2010).

Mr. Giles earned a J.D., with honors, and an LL.M. in International Law from the Duke University School of Law in 1999, where he was assistant articles editor for the Journal of Comparative and International Law. He received a bachelor’s degree in political science with general honors and departmental honors from the University of Chicago in 1996, and completed the required coursework in economics as well.
